I. The Parties will attempt to resolve any dispute arising from this Agreement through amicable negotiation.

II. If negotiation fails, either Party may initiate a mediation process.

III. If no mediator can be mutually agreed upon, a mediator will be appointed.

IV. The mediation process will commence within 14 days of mediator appointment.

V. All mediation discussions will be confidential.

VI. Any mediated settlement will be documented and signed by both Parties.

Arbitration

VII. If mediation fails within 60 days, either Party may initiate arbitration under the law.

Governing Law and Jurisdiction

VIII. This Agreement is governed by the law and subject to the exclusive jurisdiction of the courts. 

Continued Performance

IX. Disputes will not affect the Parties’ ongoing obligations under this Agreement.
